Terms of Service

1. Acceptance of Terms

By accessing or using the DropHaul platform, including the web application at app.drophaul.app, the DropHaul mobile application, and any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We recommend that you review these Terms carefully before using the Service.

2. Description of Service

DropHaul is a portable sanitation dispatch platform designed for operators running 2-10 trucks. The Service provides:

  • Job dispatch and management tools
  • Route optimization and driver navigation
  • Unit and fleet inventory tracking
  • Customer management and job site records
  • Invoicing, payment collection, and accounting integrations
  • Mobile driver app with service verification and photo capture
  • Real-time data synchronization between office and field

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes that affect your use of the Service.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account or organization
  • Ensuring that all team members added to your organization comply with these Terms
  • Notifying us immediately of any unauthorized access to your account

You must be at least 18 years of age to create an account. Accounts are limited to one organization per account, unless otherwise agreed in writing.

4. Subscription and Billing

Free Trial

New accounts receive a 14-day free trial with full access to the features of the selected plan. No credit card is required for the trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

Plans and Pricing

DropHaul offers multiple subscription plans (Starter, Pro, and Fleet) with monthly or annual billing options. Current pricing is available at drophaul.app/pricing. We reserve the right to change pricing with 30 days' advance notice.

Payment

Payments are processed through Stripe. By subscribing, you authorize us to charge your selected payment method on a recurring basis. All fees are non-refundable except as expressly stated in these Terms or required by law.

Plan Changes

You may upgrade or downgrade your plan at any time through your account settings. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.

5. Acceptable Use

You agree to use the Service only for its intended purpose of managing portable sanitation operations. You may not:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to the Service, other accounts, or any related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or redistribute access to the Service without our prior written consent
  • Upload or transmit malicious code, viruses, or any harmful software
  • Use automated tools (bots, scrapers) to access the Service in an unauthorized manner
  • Exceed the vehicle or unit limits of your plan in a manner that circumvents billing

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice depending on the severity of the violation.

6. Intellectual Property

Our Property

The Service, including its design, features, code, documentation, trademarks, and all related intellectual property, is owned by DropHaul and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription term.

Your Data

You retain ownership of all data you enter into the Service, including customer records, job data, invoices, photos, and any other content you create or upload ("Your Data"). You grant us a limited license to use, process, and store Your Data solely for the purpose of providing and improving the Service. We will not access, use, or share Your Data for any purpose other than providing the Service, unless required by law.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in our Privacy Policy.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DROPHAUL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Indemnification

You agree to indemnify, defend, and hold harmless DropHaul and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any data you submit to the Service.

10. Termination

By You

You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to the Service through the end of your current billing period. After that, your account will be deactivated and your data will be retained for 90 days before permanent deletion.

By Us

We may suspend or terminate your access to the Service at any time if you violate these Terms, fail to pay subscription fees, or if we are required to do so by law. For minor violations, we will provide notice and a reasonable opportunity to cure before termination. For severe violations (fraud, abuse, security threats), we may terminate immediately.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. You may request an export of Your Data within 90 days of termination by contacting us at support@drophaul.app. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts and waive any objection to venue.

12. Changes to Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes that affect your rights or obligations, we will provide at least 30 days' notice via email or a prominent notice within the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

13. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and DropHaul regarding the Service and supersede all prior agreements and understandings.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure. We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, acts of government, power failures, or internet disruptions.
